1. Agreement.

   These Terms of Service (the "Agreement" or "Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Assisterr Ltd, a company registered under the laws of England and Wales ("Assisterr," "we," "us," or "our"). These Terms govern your access to and use of the Assisterr platform at https://www.assisterr.ai/ (the "Platform") and outline your rights and responsibilities regarding our services (the "Services").

2. Acceptance.

   By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and all other documentation provided by Assisterr, which is incorporated by reference. If you do not agree with any part of these Terms, you must discontinue using the Services immediately.

3. Changes to Terms.

   Assisterr reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Services following the posting of changes will mean that you accept and agree to the changes. If you do not agree with the amended Terms, you must cease using the Services immediately.

1. Small Language Models (SLMs) Creation.

   Assisterr provides a Platform that enables users and businesses to create their own small language models ("SLMs") and market them. This includes: (a) Creating private SLMs, accessible only to the creator or authorized team members; (b) Creating public SLMs, accessible to any user on the Platform; (c) Browsing a marketplace of SLMs created by other users and choosing to use or query them; and (d) Using any other Services which Assisterr makes available (e.g., APIs, integrations, or enterprise solutions).

2. Marketplace and Monetization.

   Certain SLMs may be monetized through a token-based system or other payment mechanisms. Assisterr may charge fees or share in fees related to the creation, use, or monetization of SLMs, as described in these Terms, on the Platform, or in separate commercial agreements for business clients ("Business Clients").

3. Business Clients.

   If you are a business, enterprise, or other commercial entity seeking to use the Platform at scale or with specialized requirements, you may contact Assisterr at support@assisterr.ai to discuss custom pricing and related business terms.

4. Tokenization and Rewards.

   Some interactions on the Platform (such as creating or querying an SLM) may generate or require tokens ("Tokens"). These Tokens are currently in a minimum viable product ("MVP") stage, are synthetic, and do not represent any monetary value. Tokens may later be converted into a mainnet token ($ASRR) or other digital assets, which could become tradable on third-party platforms. NO REPRESENTATION IS MADE THAT SUCH TOKENS OR $ASRR HAVE CURRENT OR FUTURE MONETARY VALUE. YOU AGREE TO USE TOKENS SOLELY FOR THEIR INTENDED PURPOSES ON THE PLATFORM, AND NOT AS AN INVESTMENT, SECURITY, OR FINANCIAL INSTRUMENT. ASSISTERR DISCLAIMS ANY LIABILITY REGARDING THE VALUATION, TRANSFERABILITY, OR TRADABILITY OF THESE TOKENS.

5. Airdrops.

   Assisterr may, from time to time, conduct airdrops to distribute Tokens or other digital assets to users ("Airdrops"). Participation in any Airdrop is voluntary and at your own risk. Assisterr makes no representation or warranty regarding the value, functionality, or future utility of any Tokens or digital assets distributed through Airdrops. You acknowledge and agree that Assisterr shall not be liable for any loss, damage, or liability arising from or related to your participation in any Airdrop or your use of any Tokens or digital assets received through an Airdrop.

6. No Guarantee of Airdrop Participation.

   Assisterr does not guarantee that all users will be eligible to participate in Airdrops or receive Tokens or other digital assets. Eligibility for Airdrops may be subject to additional terms and conditions, which will be communicated separately. Assisterr reserves the right to exclude any user from participating in an Airdrop at its sole discretion.

7. Third-Party Language Models.

   Assisterr may integrate or rely on third-party language models. Your use of such models may be subject to additional terms or open-source licenses. You are solely responsible for ensuring your compliance with any applicable third-party license terms. Assisterr disclaims all liability arising from your failure to comply with such terms.

8. Updates and Modifications.

   As Assisterr evolves, you may be required to accept updates to the Platform or any third-party software to continue using the Services or to access new features. We may update the Services at any time, and your continued use signifies your acceptance of such updates.

1. Eligibility.

   By using the Services, you represent and warrant that: (a) You are the age of majority in your jurisdiction; (b) You have not been previously suspended or removed from the Services; (c) Your use of the Services does not violate any applicable law, regulation, or contractual obligation; and (d) You are not located in any country or region subject to economic sanctions, trade restrictions, or embargoes imposed by the United Nations, the United States (OFAC), the European Union, or other applicable authorities.

2. Account Registration.

   To access certain features of the Services (including SLM creation or querying), you must connect a compatible digital wallet. Additionally, you may be able to link your third-party platform accounts such as Discord or Twitter. You agree to notify Assisterr immediately of any unauthorized use of your account or any other breach of security.

3. Account Security.

   You are solely responsible for maintaining the confidentiality and security of your wallet credentials, private keys, devices, and any other means of authentication. ASSISTERR SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE RESULTING FROM YOUR FAILURE TO SAFEGUARD YOUR ACCOUNT, WALLET, OR PRIVATE KEYS.

4. Account Suspension or Termination.

   Assisterr reserves the right to suspend or terminate your account, at its discretion, if it believes you are not complying with these Terms, engaging in suspicious or unlawful activities, or for any other reason. Upon suspension or termination, your right to access and use the Services will cease immediately. WE DISCLAIM LIABILITY FOR ANY LOSS YOU MAY SUFFER IN CONNECTION WITH AN ACCOUNT SUSPENSION OR TERMINATION.

5. Account Deletion.

   If you wish to delete your account, you may do so by contacting Assisterr Support via the email provided at the bottom of these Terms.

1. Compliance with Laws.

   You agree that your use of the Services (including any acquisition, transfer, or use of Tokens) shall comply with all applicable laws, regulations, and rules, which may include cryptocurrency regulations, sanctions laws, export control laws, anti-money laundering requirements, tax obligations, or similar legal regimes in your jurisdiction. You are solely responsible for understanding and fulfilling your legal obligations in connection with your use of the Services.

2. Prohibited Uses.

   You agree not to use the Services to: (a) Infringe upon the rights of others, including intellectual property or privacy rights; (b) Engage in harassment, hate speech, or discriminatory speech; (c) Disseminate malicious code or other harmful or disruptive software; (d) Interfere with the functionality or security of the Platform, including (but not limited to) the use of VPNs, proxies, Tor, or other techniques to circumvent geographic restrictions; or (e) Upload or share unauthorized content or personal data of others without their express consent.

3. Geographic Restrictions.

   Assisterr may block access to the Services or certain features in specific jurisdictions at its sole discretion.

4. Third-Party Integrations and Services.

   The Platform may provide access to or integrate with third-party services. You agree to comply with any terms and conditions imposed by such third-party services. WE DO NOT MONITOR OR CONTROL THESE THIRD-PARTY SERVICES AND DISCLAIM LIABILITY FOR ANY ISSUES OR DISPUTES ARISING FROM THEIR USE.

5. API Access.

   Assisterr may provide an Application Programming Interface (API) for users to interact with SLMs. Your use of the API is subject to additional documentation, limits, or restrictions provided by Assisterr. Any breach of such limits or restrictions may result in suspension or termination of API access.

1. Software Provider Only.

   You acknowledge that Assisterr is solely a software provider, offering tools and technology (including SLMs and related functionality) for user-generated or user-directed activities on the Platform.

2. No Financial or Investment Advice.

   Nothing on the Platform or in these Terms is intended to, nor shall it be construed to, constitute financial, legal, or investment advice of any kind. You acknowledge that no information on the Platform should be interpreted as a guarantee or promise of any particular outcome, return, or benefit. You further acknowledge that Tokens made available through the Services are not offered as an investment or any form of financial instrument. Assisterr does not represent or imply that the Tokens have, or will have, any particular monetary or other value. Any purchase, acquisition, or use of Tokens is at your own risk and for your own utility on the Platform. ASSISTERR DISCLAIMS ALL LIABILITY FOR ANY LOSS OR DAMAGES ARISING FROM OR RELATED TO YOUR ACQUISITION, TRANSFER, OR USE OF ANY TOKENS OR OTHER DIGITAL ASSETS.

1. Free and Paid Services.

   In the MVP phase, users may create up to 10 SLMs free of charge per account. Additional or advanced features (including the ability to create more SLMs, private enterprise solutions, token swaps, or future monetization features) may be subject to subscription plans, fixed fees, or usage-based fees. Assisterr may end the MVP phase and impose fees on the creation of any SLMs at any time.

2. Monetization of SLMs.

   When a user queries your SLM or you create SLMs, you may be eligible to earn Tokens or other rewards. Assisterr may facilitate monetization or fee-sharing arrangements for SLM creators. Any fees or commissions retained by Assisterr will be disclosed on the Platform or via separate agreements.

3. Pricing Changes.

   Assisterr reserves the right to change or introduce fees for any aspect of the Services at any time. Your continued use of the Services after such notice constitutes your acceptance of the revised fees.

4. Taxes.

   You are responsible for identifying and paying all taxes (e.g., VAT, sales tax, or other governmental fees) that may be imposed on you as a result of your use of the Services or any transactions made through the Platform. Assisterr reserves the right to withhold taxes where required by law.

1. Ownership by Assisterr.

   Assisterr (or its licensors) is the exclusive owner of all existing and future intellectual property rights related to the Services, including, but not limited to, copyrights, trademarks, design rights, patents, source code, and know-how ("Assisterr IP"). Any unauthorized use of Assisterr IP is strictly prohibited. Subject to these Terms, Assisterr grants you a limited, non-exclusive, worldwide, non-transferable, revocable license to access and use the Platform and any Assisterr Content contained therein solely to use the Services for their intended purpose.

2. SLMs Created by Users.

   1. 7.2.1 User Content / Data: You retain any ownership rights you have to the data or content ("User Content") you upload or provide for creating or training an SLM. By submitting User Content, you grant Assisterr a non-exclusive, worldwide, royalty-free, sublicensable license to host, run, display, reproduce, and adapt your User Content as necessary to operate and improve the Services.

   2. 7.2.2 SLM Ownership: Subject to any relevant third-party licenses, you own the SLMs you create. If you make an SLM public or accessible to others, you grant such users the rights necessary to use and query your SLM.

   3. 7.2.3 Third-Party Model Terms: Your use or modification of any third-party base model within the Platform may be subject to additional open-source or license terms. You are solely responsible for ensuring compliance with these third-party terms.

3. Ownership of Prompt or Input Data.

   If you (the "Submitting User") provide, upload, or otherwise input any data, prompts, information, or content ("Submitting User Content") into an SLM created or owned by another user (the "SLM Creator"), you acknowledge and agree that: (a) You retain any original ownership rights you have in your Submitting User Content (e.g., copyright in text you create); (b) By providing Submitting User Content to the SLM Creator's model, you grant the SLM Creator a non-exclusive, royalty-free, sublicensable, worldwide, and perpetual license to store, reproduce, adapt, modify, and otherwise use your Submitting User Content as necessary to operate or improve the SLM Creator's model. You understand that once your Submitting User Content is integrated into the SLM Creator's model (including for training, fine-tuning, or inference), it may become part of that model's data and inseparable from it. As a result: (a) The SLM Creator may continue to use, distribute, or commercialize the improved or adapted SLM without additional notice or compensation to you; and (b) You may not request deletion or return of your Submitting User Content, unless otherwise required by law. Except for the license granted under this Section, you do not obtain any ownership or proprietary interest in the SLM Creator's model (including the underlying code, trained parameters, or subsequent improvements). Any enhancements, modifications, or derivative works made to the model by incorporating your Submitting User Content will be deemed the SLM Creator's exclusive property, subject to any applicable third-party license terms.

4. Disclaimer.

   ASSISTERR IS NOT RESPONSIBLE FOR ANY DISPUTES BETWEEN THE SUBMITTING USER AND THE SLM CREATOR ARISING OUT OF OR RELATING TO THE INCORPORATION OF SUBMITTING USER CONTENT INTO THE SLM. It is the Submitting User's sole responsibility to ensure they have the right to grant the license and to understand that the SLM Creator acquires broad usage rights over any content integrated into their SLM.

5. Feedback.

   You may provide ideas, suggestions, documents, and/or proposals regarding the Services ("Feedback"). By submitting Feedback, you grant Assisterr a fully paid, royalty-free, perpetual, irrevocable, worldwide, exclusive, and sublicensable right and license to use, reproduce, display, perform, distribute, and otherwise incorporate the Feedback into the Services (or any other products or services) without restriction.

6. Reservation of Rights.

   All rights not expressly granted to you are reserved by Assisterr. No additional rights (including any implied licenses) are granted by implication, estoppel, or otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSISTERR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONSULTANTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR SIMILAR DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES. THIS EXCLUSION INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, EVEN IF ASSISTERR WAS ADVISED OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

UNDER NO CIRCUMSTANCES WILL ASSISTERR'S TOTAL LIABILITY (REGARDLESS OF THE FORUM AND WHETHER ANY ACTION OR CLAIM IS BASED ON CONTRACT, TORT, OR OTHERWISE) EXCEED USD 500. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE OR EXTEND THIS LIMIT.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". ASSISTERR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND (WHETHER EXPRESS OR IMPLIED), INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

ASSISTERR DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE OR FREE OF ERRORS, OR THAT ALL ERRORS CAN OR WILL BE CORRECTED.

1. User Indemnity.

   YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ASSISTERR AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONSULTANTS, AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING OUT OF OR RELATED TO: (A) YOUR BREACH OF THIS AGREEMENT; (B) YOUR VIOLATION OF APPLICABLE LAW OR REGULATION; (C) YOUR USER CONTENT OR SLMS; (D) YOUR USE OF THE SERVICES IN VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING INTELLECTUAL PROPERTY RIGHTS; OR (E) ANY ACT OR OMISSION BY YOU IN CONNECTION WITH YOUR USE OF THE SERVICES.

2. Exceptions.

   You shall have no obligation to indemnify or hold harmless Assisterr to the extent that any claim, damage, liability, cost, or expense arises out of or relates to Assisterr's own gross negligence or willful misconduct.

3. Survival.

   Your obligation to indemnify under this section shall survive any termination of this Agreement and applies to Assisterr and its affiliates.

   These Terms commence on the date you first accept them and remain in effect so long as you use the Services.

2. Termination by Assisterr.

   Assisterr may terminate or suspend the Services or your access to them at any time, without notice, for any reason, including if you breach these Terms or create legal exposure for Assisterr.

3. Termination for Breach.

   Assisterr reserves the right to immediately terminate these Terms without notice if you breach any provision of these Terms or if your use of the Services causes damage or legal liability to Assisterr.

4. Effect of Termination.

   Upon termination of these Terms: (a) Your right to access and use the Services will cease immediately; (b) Any User Content or SLMs you have stored on the Platform may be deleted or become inaccessible; (c) Assisterr will not be liable to you or any third party for compensation, reimbursement, or damages related to your inability to access SLMs, tokens, or any data. All provisions of these Terms that by their nature should survive termination shall survive any termination.

1. Entire Agreement.

   These Terms, together with any documents expressly referred to in them (including the Privacy Policy), constitute the entire agreement between you and Assisterr regarding the Services. They supersede all prior or contemporaneous agreements, communications, and understandings (both oral and written) regarding this subject matter.

2. Severability.

   If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

3. Assignment.

   You may not assign, transfer, or novate any of your rights or obligations under these Terms without Assisterr's prior written consent. Assisterr may freely assign, transfer, or novate these Terms (in whole or in part) and will provide notice to you of any such action.

4. No Waiver.

   No failure or delay by a party to exercise any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict any further exercise of that or any other right or remedy.

5. Relationship of the Parties.

   Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and Assisterr.

6. Governing Law and Jurisdiction.

   These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles. All claims and disputes arising under or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

7. Force Majeure.

   Assisterr shall not be liable for any delay or failure in performance resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, pandemics, fire, floods, accidents, strikes, or shortages of transportation facilities.

8. Changes to the Services.

   Assisterr may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We shall not be liable to you or to any third party for any such modification, suspension, or discontinuance.

9. Electronic Communications.

   By using the Services, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Any notice or other communication required to be given to Assisterr under these Terms, or in connection with the matters contemplated by this Agreement, shall be in writing in the English language.
